It is well understood by us that through various collaborative activities, ADEZINES may become aware of information, which would be confidential in nature. All such information, which may relate to Commercial, Financial, Legal, Technical, Operational or any other matters, will be kept absolutely confidential. All knowledge and information which the Client expressly identifies in writing as confidential, which ADEZINES acquires during the term of this Agreement regarding the business and products of the Client, shall be maintained in strict and absolute confidentiality by ADEZINES, and this would be applicable to ADEZINES other than employees or sub-Contractors whose job performance requires such acts. Upon the first written request, we will promptly deliver any and all such confidential materials that we have received from you, in hard copy or any other format that has been made available to us. This Non-Disclosure Agreement and any Contract between the parties shall be governed by and construed and interpreted in accordance with Indian Law and Judiciary regulations and the parties submit to the jurisdiction of Courts located in Baroda, Gujarat, India.
